AGREEMENT TO TERMS

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and AIONTECH ("Company", "we", "us", or "our"), concerning your access to and use of our website, products, and cybersecurity services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

USER OBLIGATIONS

ACCOUNT REGISTRATION

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of these Terms.

You are responsible for safeguarding your account credentials
You must not share your account with any third party
You must notify us immediately of any unauthorized access
You are responsible for all activities under your account

ACCEPTABLE USE

You agree not to use our services for any unlawful purpose or in any way that violates these Terms. Prohibited activities include:

Interfering with or disrupting our services

The services, including all content, features, functionality, software, tools, methodologies, and documentation ("Content") are owned by AIONTECH, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our services for your internal business purposes only.

RESTRICTIONS

You may not:

Copy, modify, or create derivative works of our Content
Distribute, sell, or transfer our Content to third parties
Remove or alter any proprietary notices or labels
Use our trademarks or branding without written permission

PAYMENT AND BILLING

FEES

You agree to pay all fees associated with your use of our services as specified in your service agreement or subscription plan. All fees are non-refundable unless otherwise stated.

PAYMENT METHODS

We accept various payment methods as indicated on our website. You authorize us to charge your selected payment method for all applicable fees.

INVOICING

Invoices will be provided electronically. Payment is due within the timeframe specified on the invoice. Late payments may result in service suspension.

CONFIDENTIALITY

Both parties acknowledge that in the course of our relationship, each party may have access to confidential information of the other party. Each party agrees to:

Keep all confidential information strictly confidential
Use confidential information only for authorized purposes
Protect confidential information with appropriate security measures
Not disclose confidential information to third parties without consent
Return or destroy confidential information upon request or termination

WARRANTIES AND DISCLAIMERS

LIMITED WARRANTY

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee that our services will prevent all security incidents or vulnerabilities.

DISCLAIMER

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free operation

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AIONTECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to access or use) our services
Any conduct or content of any third party on the services
Unauthorized access, use, or alteration of your data
Security breaches or cyber attacks

Our total liability to you for all claims arising from or relating to these Terms or our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless AIONTECH and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

TERM AND TERMINATION

TERM

These Terms commence on the date you first access our services and continue until terminated by either party in accordance with these Terms.

TERMINATION

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

Your right to use our services will immediately cease
You must cease all use of our Content and materials
We may delete your account and data
Provisions that should survive termination will remain in effect

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AIONTECH is incorporated, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration association, or in the courts of competent jurisdiction as specified in your service agreement.

CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our services after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using our services.

GENERAL PROVISIONS

ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and AIONTECH regarding our services and supersede all prior agreements and understandings.

SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

WAIVER

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
